1. General

This web site is owned and operated by Company explorers Ltd and is made available to you on the following terms and conditions. By using the site and the services available on it you are deemed to accept these terms and conditions and any additional terms and conditions which expressly apply to services and information provided by third parties.

2. Binding agreement

These Terms and Conditions, together Company Explorers with all Exhibits to these Terms and Conditions (as they may be amended from time to time by) form a binding agreement (the "Agreement") between you and Company Explorers.

3. Miscellaneous

Failure or neglect by us to enforce at any time any of the provisions of these conditions shall not be construed nor shall be deemed to be a waiver of our rights under these conditions nor shall in any way affect the validity of the whole or any part of these conditions nor shall it prejudice our rights to take subsequent action. In the event that any of the provisions of these conditions shall be determined by a competent authority to be invalid, unlawful or unenforceable to any extent, such provision shall to that extent be severed from the remaining provisions which shall continue to be valid to the fullest extent permitted by law. This Agreement (i) constitutes the entire agreement between us with respect to the subject matter hereof and supersedes any previous oral or written arrangements or understandings relating thereto as well as any purchase orders not supplied by us that have been or may from time to time be submitted by you, (ii) may be signed in counterparts, (iii) may not be amended, terminated or waived orally and (iv) may not be assigned or resold by you, in whole or in part, directly or indirectly, by operation of law, merger, asset or stock sale or transfer or otherwise. All notices given hereunder will be given by first class mail, by hand or overnight courier to the respective address set out in this Agreement and will be deemed given upon actual delivery thereof. The headings used herein are for ease of reference only and will not be used to construe or interpret the provisions of this Agreement. No term of this Agreement is enforceable by any person who is not a party to it.

4. Service availability

We try to ensure continuous availability of the site and all the services available on it but accept no responsibility for the consequences of interruptions or delays, however caused. We may, additionally, alter the design and specification of the site at any time.

5. Your responsibilities

You should always verify the information set out in this Site with independent authorities before acting or relying on it. It is your responsibility to use virus checking software on any material downloaded from this Site and to ensure the compatibility of such software with your equipment.

In circumstances where you provide us with information relating to any third parties, you warrant that you have received that third party's consent in relation to such disclosure and that the third party has been informed of, and agree to, our Privacy Statement and the uses which we may make of such information.

The information and services available on the site are provided for the sole purpose of individuals looking for employment, career and related employment information and for employers seeking to recruit staff. You may use, print and download information from the site for these purposes only and for no other personal or commercial purpose. You may not otherwise copy, display, transmit or distribute any material from the site.

6. Our responsibilities to you

We shall be responsible for the website and we shall make all reasonable attempts to keep the website operational.

Company Explorers shall not be a party to any exchange of confidential information between you and the potential employer and you acknowledge that its sole obligation to you is to provide the Service.

7. Dealings with candidates

You agree to deal fairly and professionally with individuals you may contact using information from the candidate database and not do anything which may bring Company Explorers into disrepute. You will indemnify Company Explorers from and against any claim brought by an individual against Company Explorers arising from your breach of this obligation or any other terms and conditions

8. No guarantee of results

Company Explorers is not an employment agency or a recruiting firm, and makes no representations or guarantees regarding the effectiveness or timeliness of the Site in meeting the employment objectives of Users. Company Explorers does not guarantee that Documents posted by Users will result in candidates being hired or positions being filled, and is not responsible for any employment decisions, for whatever reason, made by any User.

We do not guarantee any response to your advertisement or that responses will be from individuals suitable for the job advertised. It is your responsibility to carry out such checks and procedures as are necessary to ensure that candidates are suitable for the job advertised and have the required qualifications and personal characteristics.

9. Third party sites and goods & services

This Web Site may contain hyperlinks to Web sites operated by parties other than Company Explorers. The operation of such web sites is entirely outside Company Explorers control and you proceed at your own risk. Company Explorers does not endorse or sponsor the products, services or content you access and/or purchase through any linked site. You will be subject to the terms and conditions of use for all and any such linked sites. Company Explorers has no liability, howsoever arising, in respect of such linked sites, their content and operation.

10. Materials submitted by you

Unless specifically requested, we do not solicit nor do we wish to receive any confidential, secret or proprietary information or other material from you through the Site, any of its services, by email, or in any other way. Any information or material submitted by you, and which has not been specifically requested by us, will be deemed not to be confidential, secret or proprietary. You agree that any information or materials submitted by you to this Site, whether ideas, creative concepts or other materials, may be used, reproduced and disclosed by us without restriction for whatever purpose we deem fit and without payment of any sum or acknowledgement of you as their source. You also warrant that any "moral rights" in posted materials have been irrevocably waived by the appropriate authors. We shall have no liability for any loss or damage suffered by you as a result of use or disclosure of such materials by us to the extent permitted by law. This paragraph does not affect any rights you may have under data privacy laws that protect your personal information or similar privacy laws, to the extent that such rights cannot be excluded.

The names, images and logos identifying the Company Explorers or third parties and their products and services are subject to copyright, design rights and trade marks of the Company Explorers Limited and/or third parties. Nothing contained in these terms shall be construed as conferring by implication, estoppel or otherwise any licence or right to use any trademark, patent, design right or copyright of the Company Explorers Limited, or any other third party.

13. User Information

In the course of your use of the Site, you may be asked to provide personal information to us (such information referred to hereinafter as "User Information"). Our information collection and use policies with respect to such User Information are set forth in the Site Privacy Policy, which Privacy Policy is incorporated into these Terms & Conditions by reference. You acknowledge and agree that you are solely responsible for the accuracy and content of the User Information.

14. Registration

The details provided by you on registration as a user of the website currently located at the URL address http://www.companyexplorers.com (the “Site”) are important and must be true, complete and correct. You agree to notify us immediately of any changes which are relevant to your registration by informing us at info@companyexplorers.com. On successful registration and acceptance as a user of the Site, you shall be entitled to use the Site subject to this Agreement and the Terms of Use of the Site.

15. Passwords

Passwords are for the sole use of the person to whom they are issued. We may deny access to a password if we reasonably believe that it is being used by an unauthorised person or that the user is breaching these terms and conditions.

16. Forums

The Forums are designed to help readers obtain career and company information and discuss ways to make career decisions. We recognise that while we make available a large volume of information in our Forums, people occasionally post messages or make statements that are misleading, deceptive, or incorrect. They may do this unintentionally, or even intentionally. Therefore, treat the contributors here the same way you would treat anyone you had met for the first time, because anyone can post to our Forums - no invitation is required.

We neither endorse nor are responsible for any opinion, advice, information, or statement made or displayed on the Site or Forums by third parties, whether such third parties are visitors to the Site, members of the Company Explorers community, or otherwise. 17. Advertising

Advertisements must conform to the British Code of Advertising Practice and must accurately reflect the product and or service being advertised.

Parts of the Site contain advertising and sponsorship. Advertisers and sponsors are responsible for ensuring that material submitted for inclusion on the Site complies with all legal and regulatory requirements and does not contain any material which is objectionable including, without limit, information which is defamatory, obscene, threatening or untrue. We are not responsible for any such material or any error or inaccuracy contained in such material and any issues which you may have should be raised directly with the relevant advertiser or sponsor.

It is the responsibility of the Buyer to check the correctness of the advertisement (and of each insertion of the advertisement if more than one). Without prejudice to condition 7, the Publisher assumes no responsibility for the repetition of an error in an advertisement ordered for more than one insertion unless notified immediately the error occurs. Any other matter of complaint, claim or query (whether in relation to the advertisement or the invoice) must be raised with the Publisher in writing within seven days following (as the case may be) insertion of the advertisement or of the date on which it is claimed the advertisement should have appeared or of the receipt by the Buyer of the invoice giving rise to it. Without prejudice to the Publisher’s entitlement to be paid for the advertisement as published a sum representing a reasonable proportion of the charge agreed at the time the advertisement was booked, the Publisher’s liability is limited to a maximum, at its option, of giving a credit for its charge for the advertisement or (in an appropriate instance) of publishing the advertisement for a second time without charge. Such complaint, claim or query shall not affect the liability of the Buyer for payment by the due time of Company Explorers’ charges for that and all other advertisements. Once any dispute in respect of any advertisement has been resolved, payment for that advertisement will, if the original due date has then already passed, be due within three working days.

  1. These terms and conditions apply to all advertising material ('Campaigns') accepted by Company Explorers for display on any of our web sites. By placing a Campaign you accept these terms and conditions as principal, even if you are acting as agent or buyer for the actual advertiser.
  2. You are responsible for the content of the Campaign and for ensuring that it complies with all relevant legislation and codes of practice. If we receive complaints about the content or the Campaign we may, at our discretion, remove the Campaign from display without reference or liability to you. You will indemnify us against any claim that the Campaign or its content infringes the intellectual property rights or other rights of others or is defamatory or otherwise offensive. If you are an employment agency or an employment business (as defined by the Employment Agencies Act 1973) it is your responsibility to ensure the advertisements you place on Company Explorers comply with the Conduct of Employment Agencies and Employment Businesses Regulations 2004.
  3. You are also responsible for fulfilling and dealing with any orders or enquiries relating to the goods or services to which the Campaign relates and you will indemnify and hold us harmless accordingly.
  4. Your sole remedy if we, or our third party subcontractors who may host and serve Campaigns from time to time, make an error in displaying any Campaign is the cost of re-running the relevant Campaign. Neither we nor our subcontractors shall be liable in any circumstances for any loss of profit or business. We shall, additionally, have no liability for failure to display the Campaign caused by circumstances outside our control.

18. Postings

If you are an employment agency or an employment business (as defined by the Employment Agencies Act 1973 ('the Act')) it is your responsibility to ensure that advertisements you place on Company Explorers comply with your obligations under the Act and Conduct of Employment Agencies and Employment Businesses Regulations 2004. You agree to comply with the Act and these regulations as they affect the conduct of your business and the advertisements you place on Company Explorers.

You agree that we may, at our discretion and without liability to you, remove from the web site any advertisement which is posted in breach of the following rules:

  1. No duplicating of jobs at the expense of other customer jobs.
  2. No gratuitous use of keywords in job descriptions or job titles. Gratuitous means deliberately inserting words, strings of words, or repeating job titles, with the intention of influencing position in the results listing, or increasing the number of page views.
  3. Job advertisements placed on the web site must be for genuine vacancies only, and not for other products or services, either relating to or unrelated to recruitment including, but not limited to, affiliate schemes, pyramid selling schemes or any other so called 'business opportunity'.
  4. URLs or email links live or text only) are not permitted in the copy of the job description page. Email links are permitted from the 'send an email' link and url linking is permitted from the 'apply online' link

The rules may change from time to time and you are advised to refer to them regularly.

19. Changes, deletion by the advertiser

The Company may delete any Advertisements Content from the Website or refuse to post any Advertisements to the Website for any reason whatsoever including if: The content of such an Advertisements is not consistent with the website’s reasonable advertising standards from time to time in effect; or is likely to breach any applicable law or regulation; The “Advertiser” has breached or threatened to breach the terms of this Agreement; or The content of any Advertisements is obscene, blasphemous, defamatory, or infringes the Intellectual Property Rights of any third party.

The Company reserves the right to:
Move, change the position of, or reduce or increase the size of any advertising content on the Website at any time if necessary or desirable for organisational or presentational reasons.

20. Illegal Advertisements

Advertisements which appear to discriminate on grounds of sex, race or disability are illegal and may result in proceedings being taken against both the advertiser and the publisher. If we believe that an advertisement may be discriminatory we may at our discretion either amend the advertisement or remove it from Company Explorers without liability to you to make any refund of amounts paid or due to be paid in respect of the posting or otherwise and will inform you accordingly

21. CV database access, authority and conditions

Database rights and all other applicable copyright and intellectual property rights in the Jobseeker Database belong to Company Explorers. You acknowledge that you do not acquire any rights in the database or its content and that your retention and use of the database and its content is governed by these terms and conditions.

Once given access to the Jobseeker Database you may only:

  1. Use the information about the individuals contained in the database for the purpose of contacting them in relation to a specific job vacancy.
  2. Use the information only in connection with your own recruitment-related activities.

You may not:

  1. Supply, sell or license material from the jobseeker database, or a copy of it, to any other person, including another member of your group of companies.
  2. Download the database through any automated process.
  3. Contact the individuals on the database or make or allow any use of the information about those individuals, other than for the purpose of finding suitable jobseekers for specific job vacancies. You must, at all times, comply with the Data Protection Act 1998 and all subsequent legislation and regulations.

22. Invoicing

The Company shall render invoices to the Client at monthly (or other agreed) intervals detailing the charges payable by the Client in respect of the Services plus Value Added Tax as required by law.

Prices are guaranteed for the period stated on the Order Form. Prices are confidential and may not be disclosed by the Customer.

A job posted on Company Explorers will remain live for 28 days or such shorter time as we agree with the Customer in the case of a closing date less than 28days. Any extension of this time will be charged to the Customer as a new posting. Any jobs posted in addition to the agreed number of jobs per month will be charged at a price per job agreed with the customer at the time of the contract negotiation. If no price has been negotiated, a flat fee of £250 per job will be charged for each job over the agreed number. A single job is identified by its unique ID number. If a customer deletes a job and then either reposts it or posts another, this will be classed as two jobs.

If any Services to be used within any time period specified on the Order Form are not used within that period of time they may not be carried over into any subsequent period without our prior written consent. The Customer will be responsible for payment for any unused Services.

23. Payments

All prices exclude VAT. All invoices are subject to VAT at the prevailing rate and are payable to us in full and in cleared funds within 28 days of invoice date. Late payment will entitle us to suspend provision of Services. Interest will be payable on late payments at the rate of 4% above the prevailing base rate of Barclays Bank Plc. calculated on an annual basis with effect from the due date for payment of the invoice. Services that have been suspended will only be re-activated on receipt of the full invoice amount plus the accrued interest, charged on a daily basis.

The Client shall pay the full amount of the invoice plus any interest payable in accordance with these Terms without any set-off or deduction. The Client shall cover any money transmission charges or exchange rate differences.

Company Explorers credits purchased on an Upfront basis are non-refundable and non-transferable.

In the event that you overpay any invoice, you must request repayment within 6 months of the date of the overpayment. Any credit note issued must be used within 6 months of the date of issue of the credit note.

In addition, you shall be liable for any collection or enforcement costs of collection in the event of late payment. We may assign to a third party the right to collect and receive payment. We may carry out a credit check against you from time to time. You authorise us to obtain trade and bank references, credit information relating to you from external credit reporting sources, consumer credit agencies and other credit sources as may be necessary and you agree to provide such credit information as we may reasonably require. We reserve the right to refuse to extend any credit to you and to require prepayment from you before providing any services. We may set off any amount received by us from you against any amount which is due and payable under this Agreement.

24. Indemnity

You will indemnify us against any loss, damage or cost incurred by us arising out of your use of the Site, any of its services or any information accessible over or through the Site, including information obtained from linked sites, your submission or transmission of information or material on or through the Site or your violation of these Terms & Conditions or any other laws, regulations and rules. You will also indemnify against any claims that information or material which you have submitted to us is in violation of any law or in breach of any third party rights (including, but not limited to, claims in respect of defamation, invasion of privacy, breach of confidence, infringement of copyright or infringement of any other intellectual property right). We reserve the right to exclusively defend and control any claims arising from the above and any such indemnification matters and that you will fully cooperate with us in any such defences.

25. No endorsements

Nothing on the Site shall be considered an endorsement, representation or warranty with respect to any User or third party, whether in regards to its web site, products, services, hiring, experience, employment or recruiting practices, or otherwise

26. Links from and to the site

  1. The Website contains hypertext links to websites that are not operated by us or by our associated companies. We do not control such websites and are not responsible for their content. Our inclusion of hypertext links to such websites does not imply any endorsement of the material contained on the websites or of the owners.
  2. You may establish a hypertext link to the home page of the Website, but not otherwise, without the need for our written consent, provided there is thereby no implied endorsement or sponsorship of you, your company or your website by us.

27. Force Majeure

Company Explorers shall not be held to be in breach of its obligations hereunder nor liable to the User for any loss or damage which may be suffered by another party due to any cause beyond its reasonable control including without limitation any act of God, fire, storm, flood, lightening, disease, strike, trade dispute, act of terrorism, any act or omission of government or regulatory bodies or communications operators.

28. No warranties

Information

Company Explorers makes no warranties, representations, statements or guarantees (whether express, implied in law or residual) regarding the website, the information contained on the website, your or your company's personal information or material and information transmitted over our system.

Safety
Company Explorers makes no warranty that this web site (or web sites which are linked to this web site) is free from computer viruses or any other malicious or impairing computer program.

Access
The Website is provided on an 'as is' basis and Company Explorers gives no warranty that the Website will be accessible by any particular browser, operating system or device.

29. Allocation of responsibility

Company Explorers provides the Site as an open forum in which Job Seekers can seek Employers, and Employers can find Job Seekers. In doing so, Company Explorers does not screen or monitor the background, conduct, suitability, reliability or trustworthiness of any User and does not review or verify the content of any Documents posted by a User. It is the responsibility of each User to take such steps as any prudent person would ordinarily take when deciding whether to act on a Document posted by another User, whether to disclose information to another User, whether to give or attend an interview, and whether to give or accept a job offer. If notified by a User of a Document or activity which allegedly does not conform to this Agreement, Company Explorers may investigate the allegation and determine in good faith and in its sole discretion whether to take any action in relation to a User or in relation a Document posted by a User.

30. Limitation of Liability

You understand and acknowledge that we provide the Website only as a gateway for users to review opportunities in and information about the Employment industry and we do not seek to or have any control (beyond the limited editorial rights pursuant to the Terms) over submissions or their accuracy, quality or truthfulness, and nor do we have any involvement in the negotiation or conclusion of any contract of employment arising from any information submitted to the Website. Accordingly, but subject at all times to the last sentence of this clause, we accept no liability for any loss (whether direct or indirect, for loss of business, revenue or profits, wasted expenditure, corruption or destruction of data or for any other indirect or consequential loss whatsoever) arising from your use of the Website and we hereby exclude any such liability, howsoever arising, whether in contract, tort (including for negligence) or otherwise. Except for the express provisions of the Terms we exclude all warranties, terms and other conditions, including but not limited to any warranty, term or other condition of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement in every case whether implied by statute, common law, custom, collaterally or otherwise. Nothing in the Terms limits liability for death or personal injury caused by negligence, or fraud.

31. Reviews, comments, communications and other content

In order to ascertain an acceptable quality and trustworthiness for reviews, Company Explorers is continuously monitoring the reviews that are submitted to the website. Our intention is that all information on the website should be as accurate and up-to-date as possible. Nevertheless, Company Explorers cannot guarantee the reliability of the information contained in reviews on the website, and all actions taken on basis of this information is the sole responsibility of the individual.

Users of this website may post reviews, comments and other content; send communications; and submit suggestions, ideas, comments, questions, or other information, as long as the content is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties, or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead as to the origin of any content. Company Explorers reserves the right (but not the obligation) to remove or edit any content.

If you do post content or submit material, and unless we indicate otherwise, you

  1. grant Company Explorers and its affiliates a non-exclusive, royalty-free and fully sublicensable rights to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media; and
  2. Company Explorers and its affiliates and sublicensees the right to use the name that you submit in connection with such content, if they choose.

You agree that the rights you grant above are irrevocable during the entire period of protection of your intellectual property rights associated with such content and material. You agree to waive your right to be identified as the author of such content and your right to object to derogatory treatment of such content. You agree to perform all further acts necessary to perfect any of the above rights granted by you to Company Explorers, including the execution of deeds and documents, at the request of Company Explorers.

You represent and warrant that you own or otherwise control all of the rights to the content that you post; that, as at the date that the content or material is submitted to Company Explorers: (i) the content and material is accurate; (ii) use of the content and material you supply does not breach any applicable Company Explorers policies or guidelines and will not cause injury to any person or entity (including that the content or material is not defamatory). You agree to indemnify Company Explorers and its affiliates for all claims brought by a third party against Company Explorers or its affiliates arising out of or in connection with a breach of any of these warranties.

32. Defamation claims

Because Company Explorers lists millions of companies for review on the website and hosts many thousands of comments and reviews, it is not possible for us to be aware of the contents of each company or service, or each comment or review that is displayed. Accordingly, Company Explorers operates on a "notice and takedown" basis. If you believe that any content on or advertised on the website contains a defamatory statement, please notify us immediately by going to Contact Us. Once you have submitted the relevant information, Company Explorers will make all reasonable endeavors to remove the defamatory content complained about within a reasonable time.

33. Acceptable Usage policy

This Site may contain discussion groups, bulletin boards, chat rooms and other interactive services. We support the free flow of information and ideas over the Internet but do not actively monitor use of our discussion groups, bulletin boards or chat rooms. Similarly, we do not exercise editorial control over the content of any third party sites, electronic mail transmission, text message, news group, bulletin board, chat room or other material created or accessible over or through the Site. 34. Confidentiality

You agree to maintain the confidentiality of the price(s) agreed between us pursuant to this Agreement and to keep any negotiations or other information connected therewith or otherwise related to this Agreement in strict confidence and not to disclose such information to any third party. You agree that the disclosure or use of such confidential information by you in violation of the provisions of this condition would cause irreparable injury to us therefore in such event we, in addition to any other remedies we may have, will be entitled to injunctive relief.

35. Database

Database rights and all other applicable copyright and intellectual property rights in the candidate database belong to Company Explorers. You acknowledge that you do not acquire any rights in the database or its content and that your retention and use of the database and its content is governed by these terms and conditions.

36. Restriction, suspension and termination

We may restrict, suspend or terminate your access to the Site and/or your ability to avail of any of the services on the Site, including interactive services, if we believe that you have breached these Terms & Conditions at any time. Any such restriction, suspension or termination will be without prejudice to any rights which we may have against you in respect of your breach of these Terms & Conditions. We may also remove the Site as a whole or any sections or features of the Site at any time. Please note that we have the ability to trace your IP address and if necessary contact your ISP in the event of a suspected breach of these Terms & Conditions

Termination

The Customer may terminate its account with no less than 30 days prior to expiration of any contract term. If the Customer terminates their account before the end of the contract term they will be liable for the payment of all sums due up until the end of the contract.

We may terminate a customer’s account if:

  1. the Customer is in material breach of these terms and conditions and has not remedied such breach within ten days of notice specifying the breach and requiring that it be remedied, or:
  2. The Customer becomes insolvent, ceases to trade or goes into liquidation.

In all cases the customer will be liable for the payment of all sums due up until the end of the contract

37. Law and Jurisdiction

This website is situated in England and all the terms and conditions of use shall be governed by and construed in accordance with the laws of England and Wales and subject to the jurisdiction of the English Courts.
